1. General Investment Risk
Investing involves risk, including the possible loss of principal. Securities markets are volatile and the value of your investments may go down as well as up. There is no guarantee that any investment strategy, including those surfaced by the AI Copilot or followed through copy trading, will be successful. Past performance is not indicative of future results.
Market Securities is a broker-dealer registered with the U.S. Securities and Exchange Commission ("SEC") and a member of the Financial Industry Regulatory Authority ("FINRA") and the Securities Investor Protection Corporation ("SIPC"). Market Securities does not provide tax, legal, or accounting advice. You should consult qualified advisors before making investment decisions.
Securities are offered through Market Securities, a registered broker-dealer and member SIPC/FINRA. Cryptocurrency services are provided by Market Securities and are subject to separate regulatory oversight. Cryptocurrency holdings are not FDIC-insured and are not deposits or obligations of any bank.
2. Product-Specific Risk
Options carry a high degree of risk and are not suitable for all investors. Certain options strategies may expose you to potentially unlimited loss. You must read and agree to the Characteristics and Risks of Standardized Options (the "Options Disclosure Document") before trading options, and you must be approved for the specific strategy level before placing an order.
Futures and futures-options are leveraged instruments and carry substantial risk of loss. You can lose more than your initial margin deposit and may be required to deposit additional funds to maintain your position. Futures trading is governed by the rules of the Commodity Futures Trading Commission ("CFTC") and the National Futures Association ("NFA").
Margin trading magnifies both gains and losses. Maintenance calls can be issued at any time and Market Securities may liquidate positions without prior notice. You should review Market Securities's Margin Disclosure Statement and the FINRA Investor Alert on margin before enabling margin.
Forex trading carries significant risk, including the risk of losing more than your initial deposit, and is not suitable for all investors. Forex is offered under applicable CFTC and NFA rules and may be subject to leverage limits that differ from securities margin.
Cryptocurrency is highly volatile and largely unregulated in many jurisdictions. Prices can move sharply and liquidity can disappear rapidly. You may lose the entire value of your crypto holdings in a short period. Staking, lending, or transferring crypto involves additional risks including smart-contract failure, slashing, and irreversible transactions.
Bonds are subject to interest-rate, credit, inflation, and liquidity risk. Fixed-income prices generally fall when interest rates rise. Lower-rated (high-yield) bonds carry greater default risk than investment-grade bonds.
Commodities exposure, whether through futures, ETFs, or ETPs, can be highly volatile and may involve leverage, roll-yield costs, and tax treatment that differs from equities.
3. Past Performance & Forward-Looking Statements
Past performance is not a guarantee of future results. Any performance metrics displayed in the Services (including those for copy-trading leaders, AI Copilot strategies, watchlists, and screeners) are based on historical data and are net of certain fees but may not reflect actual trading results. Simulated or back-tested results have inherent limitations and may differ materially from results achieved with real capital.
Charts, analytics, and risk metrics (such as beta, Sharpe ratio, volatility, and value-at-risk) are statistical estimates based on historical data and assumptions that may not hold in the future. They do not predict actual future performance.
Forward-looking statements or projections, including those generated by the AI Copilot, are based on assumptions and expectations that may prove incorrect. You should not place undue reliance on any forward-looking statement.
4. AI Copilot & Automated Tools
The AI Copilot is an informational tool that generates observations, summaries, and suggestions based on your portfolio and market data. It is not personalized investment advice, does not consider your complete financial situation or objectives, and does not create an advisory or fiduciary relationship unless you have separately enrolled in an Market Securities advisory program.
AI-generated content may be inaccurate, incomplete, or outdated. You should independently verify any information before acting on it. Market Securities does not guarantee the accuracy, timeliness, or usefulness of AI Copilot outputs, and is not liable for losses arising from reliance on them.
Where you choose to act on a Copilot suggestion, place a recurring or automated order, or follow a copy-trading leader, you remain solely responsible for the resulting trades. Market Securities may disable or limit automated features at any time to manage risk or comply with law.
5. Order Routing & Payment for Order Flow
Market Securities routes orders to a variety of market centers including exchanges, alternative trading systems, and market makers. Our order-routing decisions are designed to seek the best execution reasonably available under the circumstances, considering factors such as price, speed, likelihood of execution, settlement, and the overall cost of the transaction.
Market Securities and our clearing firm may receive payment for order flow, rebates, or other economic benefits from certain market centers. These arrangements are described in our quarterly SEC Rule 606 reports, which are available on our website. You may request a copy of a Rule 605/606 report or information about the venues to which your orders were routed by contacting support@marketsecurities.com.
Best execution does not guarantee the best possible price on every order. Market conditions, order size, and other factors may affect execution quality.
6. SIPC, FINRA & SEC Membership
Market Securities is a member of the Securities Investor Protection Corporation ("SIPC"). SIPC protects against the loss of cash and securities held by a customer of a failed SIPC-member broker-dealer, up to $500,000 (including up to $250,000 for cash). SIPC does not protect against market losses.
Information about SIPC, including the SIPC brochure, is available at www.sipc.org or by calling (202) 371-8300. Market Securities's clearing firm is also a SIPC member; additional "excess SIPC" coverage may be provided by our clearing firm's private insurer, subject to terms and conditions.
Market Securities is registered with the SEC as a broker-dealer and is a member of FINRA. You can review Market Securities's BrokerCheck profile at brokercheck.finra.gov and our Form ADV (where applicable) on the SEC's Investment Adviser Public Disclosure site at adviserinfo.sec.gov.
7. Conflicts of Interest
Market Securities is subject to Regulation Best Interest (Reg BI) and FINRA Rule 2111 (Suitability). When we make a recommendation to a retail customer we must act in the customer's best interest, place the customer's interest ahead of our own, and avoid, disclose, or mitigate material conflicts of interest.
Market Securities earns revenue from commissions, payment for order flow, margin interest, securities lending, cash-sweep interest, and other sources. These revenue arrangements create potential conflicts of interest, which we manage through policies, procedures, supervisory reviews, and disclosures such as this one. Our Form CRS (Client Relationship Summary) provides additional information about these conflicts.
Where Market Securities offers an affiliated advisory program (such as an AI-managed portfolio), we will disclose the nature of the affiliation, the fees charged, and any economic benefit to Market Securities. You should review the advisory agreement and Form ADV Part 2A brochure before enrolling.
8. Margin Disclosure Statement
Market Securities is required to provide each customer with a Margin Disclosure Statement and a written margin agreement before the customer trades on margin. The Margin Disclosure Statement describes the risks associated with margin trading, including the firm's right to liquidate positions, change maintenance requirements, and decline certain orders without notice.
Margin calls can be issued at any time, including intraday. Market Securities is not required to notify you before liquidating positions, and we may liquidate using any method we consider appropriate. You are not entitled to an extension of time on a margin call.
Pattern Day Trader (PDT) accounts (those that execute four or more day trades within five business days, where day trades represent more than six percent of total trading activity for that period) are subject to a minimum equity requirement of $25,000 and additional restrictions under FINRA Rule 4210.
9. Day-Trading Risk Disclosure
Day trading can be extremely risky. While some traders are successful, many lose money. You should not fund day-trading activities with retirement savings, student loans, second mortgages, emergency funds, or funds set aside for other purposes.
Day trading requires knowledge of securities markets, trading techniques, and risk management. You may incur significant losses in a short period. Be prepared to lose all the funds you use for day trading, and do not trade with money you cannot afford to lose.
Margin amplifies these risks. Aggressive trading in a margin account may result in losses greater than your initial investment. You should consult FINRA's day-trading information at finra.org/investors before beginning.
10. Filing a Complaint
If you have a concern about Market Securities, we encourage you to contact our Customer Relations team at support@marketsecurities.com or +1 (212) 555-0142. We will attempt to resolve your concern promptly.
You may also file a complaint with FINRA at brokercheck.finra.org, with the SEC at sec.gov/complaint.shtml, or with your state securities regulator. Information about filing an arbitration claim through FINRA Dispute Resolution is available at finra.org/arbitration-mediation.
