1. Agreement to Terms

These Terms of Service (the "Terms") form a legally binding agreement between you ("you," "your," or the "User") and Market Securities, a Delaware corporation ("Market Securities," "we," "us," or "our"), governing your access to and use of the Market Securities website, mobile applications, application programming interfaces (APIs), and any related brokerage, trading, analytics, AI Copilot, copy trading, and educational services (collectively, the "Services").

By creating an account, logging in, or otherwise using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Cookie Policy, Disclosures, and all other policies incorporated by reference. If you do not agree with any provision of these Terms, you must not access or use the Services.

These Terms constitute the full and entire agreement between you and Market Securities with respect to the Services and supersede any prior written or oral agreements. If any provision is held to be unenforceable, the remaining provisions will remain in full force and effect.

2. Account Eligibility & Authority

To open an account you must be at least eighteen (18) years of age (or the age of legal majority in your jurisdiction of residence), possess the legal capacity to enter into a binding contract, and not be prohibited from receiving our Services under applicable U.S. or foreign law. By opening an account you represent and warrant that all information you provide is accurate and complete.

Market Securities is a U.S.-registered broker-dealer. We do not offer the Services in jurisdictions where we are not licensed or where such offer would be contrary to local law. We may decline to open an account, limit product access, or close an account based on your residency, citizenship, tax status, sanctions screening, or other compliance considerations at our sole discretion.

If you open an account on behalf of a legal entity (such as a corporation, partnership, trust, or retirement plan), you represent that you are duly authorized to bind that entity, that the entity is validly existing and in good standing, and that you will provide any beneficial ownership or other documentation we reasonably request under applicable anti-money-laundering (AML) and know-your-customer (KYC) rules.

3. Account Opening & Verification

When you open an account you agree to provide true, current, and complete identifying information, including your full legal name, date of birth, taxpayer identification number (such as a Social Security Number or IRS Form W-8/W-9), residential address, and such other information as we may require. You agree to update this information promptly if it changes.

We use identity-verification, sanctions-screening, and risk-scoring procedures consistent with the U.S. Bank Secrecy Act, FINRA rules, and OFAC regulations. You authorize us to obtain credit reports, identity verifications, and similar reports from third parties, and to take any reasonable steps to verify your identity before or after your account is activated.

You may be required to fund your account before placing trades. Market Securities may place holds on deposits, restrict specific product types (such as options, futures, margin, or crypto), or require additional documentation at any time to manage risk or comply with regulatory obligations.

4. Trading Authorization & Orders

By using the Services to place orders you authorize Market Securities, through our clearing arrangements, to execute purchase and sale orders for securities, options, futures, forex, cryptocurrency, bonds, and other instruments on your behalf. All orders are subject to the rules of the relevant exchange, clearinghouse, and self-regulatory organization, as well as our then-current order-routing and execution practices described in our Disclosures.

You are solely responsible for every order entered under your account credentials and for maintaining sufficient buying power or collateral. You agree to monitor your positions and margin requirements continuously. Market Securities may reject, cancel, or liquidate any order or position without prior notice where required to manage risk, comply with law, or enforce these Terms.

For margin accounts, you must comply with the margin requirements of Regulation T, FINRA Rule 4210, and the applicable exchange rules. Market Securities may impose higher or different margin requirements at any time. Liquidations are conducted on a best-efforts basis and Market Securities is not liable for any resulting loss.

Where you elect to use the AI Copilot, copy trading, or other automated features, you acknowledge that any suggestion, signal, or replicated trade is generated based on historical data and statistical models, is not personalized investment advice, and does not create a fiduciary or advisory relationship. You remain the sole decision-maker for every trade executed in your account.

5. Prohibited Conduct

You agree not to (a) use the Services for any unlawful, fraudulent, or manipulative purpose; (b) violate any applicable law, exchange rule, or regulatory order; (c) attempt to gain unauthorized access to our systems, scrape or reverse engineer any part of the Services, or interfere with its operation; (d) input or transmit malware, viruses, or harmful code; (e) use another User's credentials or share your own; (f) engage in money laundering, terrorist financing, or sanctions evasion; or (g) use the AI Copilot or copy trading features to facilitate market abuse.

Market Securities may suspend or terminate access, freeze assets, and report to regulators where we reasonably suspect prohibited conduct. You agree to cooperate fully with any internal or regulatory investigation and to indemnify Market Securities for losses arising from your misconduct.

You must not use the Services as a substitute for professional tax, legal, or accounting advice. You are responsible for any tax liability arising from your activity on Market Securities and for providing accurate cost-basis information where required.

6. Intellectual Property

The Services, including the Market Securities name, logo, software, user interface, market data displays, AI models, educational content, and documentation, are owned by Market Securities or its licensors and are protected by U.S. and international intellectual-property laws. Nothing in these Terms transfers any ownership rights to you.

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for your own internal, non-commercial investment purposes during the time your account is in good standing. You may not copy, redistribute, resell, or commercially exploit market data, signals, or content made available through the Services except as expressly permitted.

Market data is provided by third-party exchanges and vendors under separate subscription agreements. You agree to abide by the terms of those agreements, including any restrictions on redistribution or display. Trademarks displayed in the Services belong to their respective owners.

7. Suspension & Termination

You may close your account at any time by liquidating all positions, withdrawing all balances, and submitting a closure request through the app. Market Securities will process closure requests within a reasonable period, subject to pending settlements, regulatory holds, or open investigations.

Market Securities may suspend, restrict, or terminate your account, or any feature of the Services, immediately and without prior notice where (a) we are required to do so by law, regulation, or legal process; (b) we suspect fraud, unauthorized access, or other prohibited conduct; (c) your account carries undue credit or operational risk; or (d) you have materially breached these Terms.

Upon termination, all amounts you owe us become immediately due, and we may sell any collateral or positions necessary to satisfy such amounts. Provisions of these Terms that by their nature should survive termination (including intellectual property, indemnification, limitation of liability, dispute resolution, and governing law) will remain in effect.

8. Disclaimer & Limitation of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, Market Securities AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Dispute Resolution & Arbitration

Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your account ("Dispute") will be finally resolved by binding arbitration administered by the Financial Industry Regulatory Authority (FINRA) Dispute Resolution under its then-current rules for customer disputes, or, if FINRA declines jurisdiction, by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

You and Market Securities agree that the U.S. Federal Arbitration Act governs the interpretation and enforcement of this section, that the arbitration will be conducted in New York County, New York (or your U.S. state of residence if you elect to proceed there), and that the arbitrator's award may be entered in any court of competent jurisdiction. Judgment on the award may be entered by any state or federal court with jurisdiction.

Either party may bring small-claims actions in any court of competent jurisdiction. Either party may also seek injunctive or other equitable relief in court to protect intellectual property or confidential information. You and Market Securities waive any right to participate in a class action, class arbitration, or representative proceeding; the arbitrator may consolidate only individual claims where the arbitration agreement permits.

You may opt out of this arbitration provision by mailing a written notice to our Legal Department at 1180 Avenue of the Americas, New York, NY 10036 within thirty (30) days of the date you first accepted these Terms. The notice must include your name, address, account number, and a clear statement that you do not agree to arbitrate disputes.

10. Modifications & Notices

We may modify these Terms from time to time. For material changes we will provide advance notice by email to the address associated with your account and by in-app banner at least thirty (30) days before the change takes effect, except where a shorter notice period is required by law or where the change is required for regulatory compliance.

Your continued use of the Services after the effective date of any change constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services and close your account as described above.

Notices from Market Securities will be provided by email, in-app message, or posting on our website. Legal notices to Market Securities should be sent to our Legal Department at 1180 Avenue of the Americas, New York, NY 10036, or to legal@marketsecurities.com.
